By using AccelBooks ("Service"), operated by CesarTech, you agree to the following terms. Please read them carefully before uploading any documents. If you do not agree, do not use the Service.

1. Description of Service

AccelBooks is an automated bookkeeping acceleration tool provided for informational and automation purposes only. It accepts bank statement PDFs, extracts financial transactions using software-based parsing and artificial intelligence assistance, categorizes them according to internal classification rules aligned with standard accounting categories, and generates a downloadable financial report (e.g., Excel format). The Service is designed to reduce manual bookkeeping effort — it is not a replacement for a licensed accountant, bookkeeper, or financial advisor, and does not constitute accounting, tax, or financial advice of any kind.

2. Financial Disclaimer

AccelBooks does not provide financial, accounting, tax, or legal advice. All outputs are generated automatically by software and are intended as a starting point for review — not a final, authoritative record. You must verify all outputs with a qualified professional before using them for tax filings, audits, loan applications, or any financial decision. CesarTech is not a licensed accounting firm and does not assume responsibility for decisions made based on generated reports. No accountant-client, advisor-client, or any other professional relationship of any kind is created by using this Service. You agree not to rely solely on any output generated by this Service for financial, tax, or business decisions.

3. AI Disclaimer

AccelBooks may use artificial intelligence models to assist in transaction categorization. AI-assisted categorizations are probabilistic and may contain errors. The Service does not guarantee that AI-generated categories match any specific accounting standard, your business structure, or your accountant's preferences. All AI suggestions are clearly labeled in the output and must be reviewed before use. By using this Service, you acknowledge that AI outputs are advisory only. We do not use your data to train AI models, fine-tune algorithms, or improve any system beyond the immediate processing of your report. Confidence percentages displayed in outputs (e.g., "AI: Meals (80%)") represent the AI model's internal probability score for a given classification and do not indicate accuracy, correctness, or compliance with any accounting standard. A high confidence score does not mean the categorization is correct for your specific business structure, tax jurisdiction, or accountant's professional judgment.

4. No Warranty

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We make no guarantees regarding:

Accuracy, completeness, or fitness of generated outputs for any particular purpose
Compatibility with any specific bank format, file type, or document structure
Uninterrupted or error-free availability of the service
That all transactions will be detected, extracted, or correctly classified
That results will be accurate when uploaded documents are incomplete, damaged, illegible, or in unsupported formats
That image-based, scanned, password-protected, or encrypted PDF documents will be processed successfully — text-based PDFs from supported financial institutions are required for accurate extraction
That outputs from bank statement formats not explicitly supported will be accurate or complete — unsupported formats may result in partial or failed extraction without error notification
That automated categorizations will match any specific accounting standard, tax jurisdiction, or professional judgment

The quality and completeness of outputs depends entirely on the quality and completeness of documents provided. CesarTech accepts no responsibility for outputs derived from inaccurate, incomplete, or improperly formatted input documents.

5. User Responsibility

You are solely responsible for the accuracy and legality of documents you upload.
You must have full legal authorization to process and share the financial documents provided.
You agree to review, validate, and correct all outputs before any business or tax use. You are solely responsible for validating outputs prior to use.
You agree not to rely solely on any output generated by this Service for tax filings, financial statements, audit submissions, or any decision with financial or legal consequences.
You will not upload documents belonging to another person or entity without their explicit consent.
You are responsible for downloading and storing your report within the 7-day retention window.

6. Data Deletion

Bank statement PDFs: Deleted immediately and permanently after processing completes.
Excel P&L reports: Available for download for 7 days, then permanently deleted.

Once deleted, reports cannot be recovered under any circumstances. You are solely responsible for downloading and storing your report before the 7-day window expires.

7. Acceptable Use

You agree not to:

Upload stolen, falsified, or unauthorized financial documents
Use the Service to commit fraud, money laundering, or any illegal activity
Attempt to reverse-engineer, scrape, or exploit the platform
Overload, attack, or disrupt the infrastructure (including DDoS, automated abuse)
Share your account access or free trial access with others to circumvent limits
Use the Service on behalf of a third party without their consent and without disclosure

8. Limitation of Liability

To the maximum extent permitted by applicable law, CesarTech shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including but not limited to:

Financial losses, tax penalties, fines, or audit assessments arising from use of generated outputs
IRS or government penalties resulting from tax filings based on Service outputs
Business or financial decisions made based on reports produced by the Service
Loss of clients, business relationships, revenue, or business opportunity
Errors, omissions, misclassifications, or incomplete extraction in generated reports
Damage to professional reputation arising from reports used by or on behalf of third parties
Data loss or inability to recover deleted files after the retention period
Service interruptions, downtime, failed report delivery, or loss of access
Unauthorized access or security incidents beyond our reasonable control
Any claim brought by a third party (including clients of the user) related to outputs generated by this Service

CesarTech expressly disclaims all liability for moral, punitive, or exemplary damages under any legal theory, including negligence, strict liability, or breach of contract. Total liability (if any) shall not exceed the amount paid by you for the Service in the 12 months preceding the claim, or $0 if the Service was provided free of charge. This limitation applies even if CesarTech has been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless CesarTech and its operators from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or any data you upload.

10. Billing and Paid Plans

AccelBooks currently offers a free trial tier. Paid subscription plans are planned for future release and will be processed through Stripe, a third-party payment processor. When paid plans become available:

Subscription fees will be charged in advance on a recurring basis (monthly or annual).
You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
Refunds are not guaranteed but may be issued at our discretion for unused periods.
We reserve the right to change pricing with reasonable advance notice.

Stripe's own Terms of Service and Privacy Policy apply to payment processing. CesarTech does not store credit card or payment information directly.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we determine that you have violated these Terms, abused the system, or engaged in conduct that harms other users or the platform. You may also stop using the Service at any time. Upon termination, your data will be deleted according to the retention schedule in Section 6.

12. Service Availability and Modifications

We do not guarantee continuous or uninterrupted availability. The Service may be modified, updated, suspended, or discontinued at any time without prior notice. We are not liable for any inconvenience or loss resulting from planned or unplanned downtime.

Classification rules, keyword mappings, and AI models used by the Service are updated periodically to improve accuracy and coverage. As a result, processing the same document at different points in time may produce different categorization results. CesarTech does not guarantee consistency of outputs across sessions, time periods, or software versions. Prior outputs are not retroactively revised when rules are updated.

13. Third-Party Services

AccelBooks relies on external service providers (hosting, email delivery, AI APIs) to function. We are not responsible for their availability, security, or policies. We are not responsible for email delivery failures caused by third-party providers, spam filters, or recipient mail server configurations. If you do not receive your report email, contact us at [email protected]. The platform may also include open-source components governed by their respective licenses.

14. Governing Law

These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict of law provisions. Any disputes not resolved informally may be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), to the extent permitted by law. You waive the right to participate in class-action proceedings against CesarTech.

15. Changes to These Terms

We may update these Terms at any time. The "Last updated" date at the top reflects when changes were last made. Continued use of the Service after an update constitutes acceptance of the revised Terms.

16. Statute of Limitations

Any claim or cause of action arising from or related to the use of this Service must be filed within one (1) year after the claim arose, regardless of any statute or law to the contrary. Claims filed after this period are permanently barred. This limitation applies to all claims under any legal theory, including negligence, contract, or tort.

17. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect without being impaired or invalidated in any way.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CesarTech regarding the use of the Service and supersede all prior agreements, representations, or understandings — written or oral — relating to the subject matter herein. No oral statements, promotional materials, or prior course of dealing shall modify or supplement these Terms.
